Welcome to Storeller, an app owned by GoldEx Entertainment (Pty) Ltd ("we," "our," or "us"), a company registered in terms of South African law with registration number: 2007/010688/07. Storeller provides companies ("Subscribers," "you," or "your") with subscription-based access to list and sell various products at events organized by GoldEx Entertainment. By using Storeller, you agree to comply with and be bound by these Terms and Conditions. Please read these Terms carefully before using our app. If you do not agree to these Terms, you must not use the app.
1. Acceptance of Terms
By accessing or using the Storeller app, you agree to comply with these Terms and Conditions. We reserve the right to modify, update, or change these Terms at any time, and such changes will be effective immediately upon posting.We encourage you to review these Terms periodically for any updates.
2. Subscription to Storeller
Storeller offers a subscription-based service allowing companies to apply to sell products at events organized by GoldEx Entertainment. By subscribing to Storeller, you are granted access to the app’s features, including the ability to participate in events.
2.1 Subscription Details
Upon applying for a stall, you will be required to pay a fee per product sold, which may vary depending on the event or duration.
You agree to provide accurate and up-to-date information for billing purposes. All payments are non-refundable, except as required by applicable law.
2.2 Payment Terms
All fees are billed on a prepaid basis as specified during application.
3. Use of Storeller
You are granted a limited, non-exclusive, non-transferable license to access and use Storeller for lawful business purposes related to selling products at events organized by GoldEx Entertainment. You may not use the app for any unauthorized or illegal activities.
3.1 Account Creation
To use Storeller, you must create an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for any activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.
3.2 Product Listings
As a Subscriber, you are responsible for buying a stall accurately, including product prices, and images. You must ensure that your products comply with all applicable laws, event guidelines, and regulations. The listing of counterfeit, illegal, or prohibited items is strictly prohibited.
4. Event Participation
Storeller allows you to list and sell products at events organized by GoldEx Entertainment. By using the app, you agree to comply with the event rules and requirements, which may include specific guidelines for product types, booth setup, and other related matters.
4.1 Event Fees
Certain events may require additional fees to participate. Any applicable fees will be communicated to you in advance through the app or via email. You agree to pay any such fees promptly.
4.2 Event Cancellations and Modifications
As a Subscriber, you are responsible for buying a stall accurately, including product prices, and images. You must ensure that your products comply with all applicable laws, event guidelines, and regulations. The listing of counterfeit, illegal, or prohibited items is strictly prohibited.
5. Prohibited Conduct
By using Storeller, you agree not to:
- Violate any applicable local, state, or international laws.
- Engage in fraudulent, deceptive, or illegal activities.
- Distribute viruses or malicious software.
- Engage in spamming, data mining, or other harmful practices.
- Use the app to harass, defraud, or harm others.
GoldEx Entertainment reserves the right to suspend or terminate your account if you violate these Terms.
6. Ownership and Intellectual Property
Storeller and its contents, including logos, trademarks, and software, are owned by GoldEx Entertainment. By using Storeller, you are granted a limited, non-exclusive license to access and use the app as intended. You do not acquire any ownership rights to the app or its content.
7. Limitation of Liability
To the fullest extent permitted by law, GoldEx Entertainment will not be liable for any indirect, incidental, special, or consequential damages arising from your use of Storeller. This includes, but is not limited to, any loss of data, profits, or business opportunities.
8. Indemnification
You agree to indemnify and hold harmless GoldEx Entertainment, its affiliates, employees, and partners from any claims, damages, or liabilities that arise from your use of Storeller, including any violation of these Terms.
9. Privacy Policy
Your use of Storeller is governed by our Privacy Policy, available at www.storeller.co.za/storellerprivacypolicy.pdf . By using the app, you consent to the collection and use of your personal data in accordance with our Privacy Policy.
10. Termination
GoldEx Entertainment reserves the right to suspend or terminate your access to Storeller at any time for any reason, including violation of these Terms. If your account is terminated, you will lose access to the app and any associated services.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts in South Africa.
12. Dispute Resolution
If a dispute arises between you and GoldEx Entertainment, we encourage you to contact us first to resolve the issue. If the dispute cannot be resolved amicably, you agree to resolve the dispute through binding arbitration in accordance with the rules of South African Court.
13. Force Majeure
GoldEx Entertainment is not responsible for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, or technical failures.
14. Miscellaneous
- Entire Agreement: These Terms constitute the entire agreement between you and GoldEx Entertainment regarding your use of Storeller.
- Severability: If any provision of these Terms is found to be invalid, the remaining provisions will remain in full force.
- Waiver: The failure to enforce any part of these Terms does not waive the right to enforce other provisions.
15. Media Rights & Usage Terms
15.1 Ownership
All Media remains the sole property of Goldex Entertainment, including raw footage, edited materials, and derivative works.
15.2 Usage Rights
Goldex Entertainment may use, reproduce, distribute, and publicly display the Media for promotional, commercial, or archival purposes without additional consent or compensation to attendees, participants, or third parties.
15.3 Restrictions
Attendees, performers, or partners may not use professional-grade Media (e.g., staged photos, branded content) for commercial purposes without prior written approval from Goldex Entertainment.
15.4 Personal Use Exception
Attendees may share personal, non-commercial social media content (e.g., candid phone photos/videos) provided it does not infringe on the Company’s branding or revenue streams.
15.5 Enforcement
Unauthorized commercial use of Media by external parties will result in takedown requests and/or legal action.
By using the Storeller app, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
